What’s next?  That depends on how you want to get involved in the Texas Crowdfunding industry.  Maybe you’ll want to launch your own Texas Crowdfunding Portal. Or if you’re an entrepreneur, business or startup, you might consider issuing a Private Equity Placement to raise money for your business under the new Texas Crowdfunding Exemption.  Or the third option is to become a savvy Texas Crowdfunding Investor and start shopping for new businesses investments.

To help you get started we have provided some of the most important sections of the new crowdfunding rules to read as well as some of the crowdfunding forms you’ll need to fill out and file with the Texas State Securities Board.

Texas Crowdfunding Options:

1. Starting a Texas Crowdfunding Portal

Perhaps you have an interest in launching a new crowdfunding portal and getting into the business of helping Texans launch new businesses or expand existing ones. If so, you’ll need to  fill out a Texas Crowdfunding Portal (TCP) Registration Form and file it with the Texas State Securities Board. Next you’ll need to memorize and abide by the Texas Equity Crowdfunding Issuer Rules and Texas Equity Crowdfunding Disclosure Requirements.

Once your paperwork has been filed you’ll need to hire a crowdfunding marketing consulting company that can guide you through the process of putting together a portfolio of crowdfunding campaign marketing services. These marketing services will serve a critical role in helping your crowdfunding campaign managers raise awareness for their fundraising campaigns and drive potential investors to your new Texas Crowdfunding Portal (TCP).

One investors have been verified as Texas residents, they will be able to login to crowdfunding portals and begin shopping for new equity investment opportunities.

2. Issue an Equity Crowdfunding PPM

On November 17, 2014, entrepreneurs, startups and businesses will be able to issue a Private Placement Memorandum (PPM) to raise up to $1 million every 12 months by selling equity shares in their companies to unaccredited investors, which means everyone who is 18 years or older and is a legal resident of Texas. Currently, Texas is the largest crowdfunding opportunity in America with a population of 20+ million potential investors who can soon invest up to $5,000 in multiple Texas-only crowdfunding equity private placements.

What does it take to issue a Texas Crowdfunding Exemption Private Placement offering? First, you’ll need to shop around for the best rates you can find on one of the many up and coming Texas Crowdfunding Portals (TCPs).  Select the crowdfunding portal you want to use and then review the issuer rules and disclosure requirements.  Then you will have all the information needed to fill out a Texas Crowdfunding Issuer Exemption Notice Form and file it with the Texas State Securities Board.

To assist you with the crowdfunding fundraising campaign planning process hire a crowdfunding marketing consulting firm to help you learn about the language to use when writing campaign profiles, how to shoot pitch videos and how to plan legal marketing campaigns to raise awareness for your fundraising campaign and direct potential investors to the portal of your choice to learn more about the details of your private placement.

All crowdfunding portals are different and selecting the right one will be extremely important. For example, maybe you need to raise less than $100,000 to get your business of the ground and don’t want to give up an equity stake in your company.  A rewards-based or perks-based crowdfunding platform might be a better choice depending on the product or service being pre-sold to raise money. Rewards-based crowdfunding campaigns are not capped at $1 million.

4. Hire a Crowdfunding Consulting Firm

Front Page PR is one of the leading crowdfunding consulting firms in the United States.  We have been helping Kickstarter and Indiegogo crowdfunding campaign managers achieve success for the past 2 years. We can now begin assisting Texas private placement issuers with every step of the crowdfunding process: researching, writing, planning, and launching successful Texas crowdfunding campaigns.

We’ll help issuers make the right decisions based on a 25-year year track record of helping startups, mid-sized companies and Fortune 500 corporations conduct successful product/service rollouts to regional, nationwide and global markets.

Our marketing team will help produce the company disclosure documentation for the issuer’s business goals and objectives, backgrounders on its operations/organization and executive bios for the management team and its principal stockholders. We will also help write the crowdfunding campaign profiles that detail why venture capital is needed and how the proceeds will be spent once the crowdfunding campaign concludes.

Our investment relations team will help the issuer perfect an investors presentation deck, write a script for the crowdfunding pitch video, format the issuer’s financial information and write in-depth descriptions of the securities being offered. Next, we’ll help issuers conduct a competitive analysis on the available Texas Crowdfunding Portals and recommend which one is the best match for their needs based on the company’s business goals and objectives.

Last, but not least, we will help issuers plan a marketing campaign to reach potential investors, while adhering to both the SEC’s and Texas State Securities Board’s strict legal guidelines on General Solicitation. Our marketing campaigns will not only target investors, but also build a solid sales funnel and distribution channel for companies to ensure their continued success over time.
