St. Helier, Jersey –  The SoftBank Vision Fund announced its first major close with over U.S.$93 billion of committed capital. In addition to SoftBank Group Corp (SBG) and the Public Investment Fund of the Kingdom of Saudi Arabia (PIF) as previously announced, investors in the Fund also include the Mubadala Investment Company of the United Arab Emirates (Mubadala), Apple Inc. (Apple), Foxconn Technology Group (Foxconn), Qualcomm Incorporated (Qualcomm) and Sharp Corporation (Sharp).

The Fund is targeting a total of U.S.$100 billion of committed capital, with a final close within six months.

SBG created the SoftBank Vision Fund as a result of its strongly held belief that the next stage of the Information Revolution is underway, and building the businesses that will make this possible will require unprecedented large scale long-term investment. Additionally, the Fund’s portfolio companies are expected to significantly benefit from SBG’s global scale and operational expertise, as well as its ecosystem of group portfolio companies (including Sprint and Yahoo Japan); this will thereby help them to accelerate their own growth profile.

The Fund will be SBG’s primary vehicle to realise its SoftBank 2.0 vision, with preferred access to investments of U.S. $100 million or more that meet the Fund’s investment strategy.

Investment Strategy

The Fund will target meaningful, long-term investments in companies and foundational platform businesses that seek to enable the next age of innovation.

The Fund will seek to acquire minority and majority interests in both private and public companies, from emerging technology businesses to established, multi-billion dollar companies requiring substantial growth funding.

The Fund is expected to be active across a wide range of technology sectors, including but not limited to: IoT, artificial intelligence, robotics, mobile applications and computing, communications infrastructure and telecoms, computational biology and other data-driven business models, cloud technologies and software, consumer internet businesses and financial technology.

The Fund will have the right to acquire certain investments already acquired (or agreed to be acquired) by the SoftBank Group, including 24.99% of its holding in ARM, and investments in Guardant Health, Intelsat, NVIDIA, OneWeb and SoFi.

Key Leadership

The Fund will be advised by wholly-owned subsidiaries of SBG, known collectively as “SB Investment Advisers.”

Rajeev Misra will serve as the CEO of SB Investment Advisers and will be a member of the Investment Committee. He will play a key role in all Fund transactions, supported by a highly-experienced global team across offices in London, San Carlos, and Tokyo.

Nizar Al-Bassam and Dalinc Ariburnu of newly formed Centricus, who advised on structuring and fund raising efforts for the Vision Fund, will continue their roles as advisers.

ARM group

  • SBG’s commitment to invest U.S. $28 billion in the Fund will be partially satisfied through the in-kind contribution of approximately 24.99% of the shares in ARM Holdings plc, at a value of approximately U.S.$8.2 billion.
  • ARM will continue to be a consolidated subsidiary of SBG. SBG will continue to control (directly and indirectly) 100% of the voting rights of ARM, through its retained ownership of approximately 75.01% of the shares and its ownership of the entities managing and advising the Fund.
  • In the course of discussions with certain investors in the Fund, a portion of ARM was requested to be transferred into the Fund based on the shared vision on the huge growth potential of ARM
  • There will be no change to the Board, governance structure or operations of ARM as a result of the transfer.
  • The investors in the Fund will not gain any special commercial benefits from ARM’s operating business.

Relationship to SoftBank Group Corp.

  • The Fund’s general partner is a wholly-owned subsidiary of SBG, as are each of the SB Investment Advisers, including the Fund’s primary investment adviser, SB Investment Advisers (UK) Limited.
  • SBG has subscribed for commitments of U.S. $28 billion to the Fund to be contributed through a combination of equity in ARM and cash on hand. The Fund will be consolidated by SBG for accounting purposes.
  • While the Fund will be the primary investment vehicle for investments in excess of U.S.$100 million consistent with the Fund’s investment strategy, SBG (and its subsidiaries) may continue to make certain investments outside of the Fund, including (but not limited to) investments in early stage VC, strategic investments done at the operating company level, and/or other investments which do not fall within the Fund’s investment strategy and criteria.

SEC Issues Progress Report on United States Title III Equity Crowdfunding Growth Rate

Washington, DC – The SEC just released a white paper entitled, U.S. securities-based crowdfunding under Title III of the JOBS Act, which analyzes crowdfunded offerings during the first six months following May 16, 2016 when Title III, Regulation Crowdfunding become official. The SEC’s white paper, which was prepared for Scott Bauguess, the Acting Chief Economist and Acting Director of the Division of Economic and Risk Analysis (DERA), noted that the majority equity crowdfunding offerings to date have not utilized Regulation D as much as predicted.

The white paper does go into great detail about five largest Title III crowdfunding portals based on the number of offerings, which accounted for 71% of the offerings launched during 2016.  The five largest Title III crowdfunding sites  also accounted for 64% of the total amount of funds raised. And while more 20 crowdfunding sites were listed, most of the offering activity was limited to 25% of active platforms in the Title III crowdfunding marketplace. And, if you ran the numbers for completed offerings, you would see that the top five largest intermediaries accounted for more than 90% of the market share.

Most Successful Types of Title III Equity Crowdfunding Campaigns

Many people want to know what the types of Title III crowdfunding campaigns were the most successful. Preferred Equity led the pack at 36%, followed bySimple Agreements for Future Equity at 26%, Debt at 20%, Units at 7%, Convertible Notes at 6% and Miscellaneous accounted for the remaining 5%, which included Revenue Sharing and Membership / LLC Interests.

Top States for Launching Title III Equity Crowdfunding Campaigns

Another interesting way to look at growing crowdfunding industry is to examine what states launched the most successful Title III Equity Crowdfunding Campaigns.  In the table below you can see that California/Silicon Valley launched the most Title III crowdfunding campaigns, followed closely by Texas/Silicon Hills at 19%, New York at 14%, Massachusetts and Illinois tying at 9%, Delaware, Florida, New Jersey, Oregon, and Pennsylvania bringing up the back to the pack, all with 5%.

How Many Reg. D and Title IV, Reg. A+ Crowdfunding Offerings Result?

Because many industry experts have stated their concerns that the SEC’s decision to severely restrict the general solicitation guidelines with regards to advertising their crowdfunding deals to the masses of non-accredited investors, the white paper also took a close look at how many Title III Regulation Crowdfunding Campaigns had previously or subsequently conducted an offering under Regulation D or Regulation A.

As shown in the table below, as of January 15, 2017, approximately 15% of offerings initiated during 2016 (excluding withdrawn offerings) were by issuers that have also reported offerings under Regulation D either before or after the initial crowdfunding filing. And, approximately 3% of issuers have issued Regulation A+ filings as of January 15, 2017.

Among crowdfunding issuers, approximately 12.9% of offerings were by issuers that had filed the first Form D notice prior to the first crowdfunding filing and approximately 2.5% of offerings involved issuers that had filed a Form D notice after the first crowdfunding filing. For about 8.6% of offerings, excluding withdrawn crowdfunding offerings, a Form D filing was made within one calendar year before or after the initial crowdfunding filing. Consistent with their young age, the SEC determined that the majority of the crowdfunding issuers were more likely to be new startups rather than “fallen angels.”

Overall, these results suggest that crowdfunding is attracting issuers that have not extensively used other private offering exemptions, such as Regulation D, which is otherwise a very popular private offering exemption among similarly sized issuers as those initially availing themselves of the Crowdfunding market. The initial evidence is points to the fact that Title III, Regulation Crowdfunding is indeed providing a new source of capital for entrepreneurial and small businesses that may not otherwise have had access to capital through alternative capital raising channels.

The white paper also made a point of covering the following facts and figures.:

  • There were 163 separate offerings by 156 issuers, seeking a total of approximately $18 million, excluding withdrawn offerings. The median offering amount was $53,000 and the average offering amount was approximately $110,000. However, almost all of the offerings accepted over-subscriptions up to a higher amount (typically close to $1 million) for a total amount of approximately $101 million.
  • As of January 15, 2017, approximately $10 million in proceeds was raised in 33 offerings by issuers filing a Form C-U. The median amount raised in these offerings was $171,000 and the average amount raised was approximately $303,000.
  • For offerings initiated in 2016, were withdrawn by issuers or associated with an intermediary whose FINRA membership was terminated and funding portal registration withdrawn. These offerings sought a total of approximately $2.3 million (approximately $19.5 million if over-subscriptions are included).
  • Most of the offerings solicited in all states.
  • The most popular type of security was equity, followed by “simple agreements for future equity” and debt.
  • The most popular state of incorporation for issuers was Delaware and the most popular principal place of business for issuers was California.
  • The median issuer had under $50,000 in assets, under $5,000 in cash, $10,000 in debt, no revenues, and three employees. Approximately 40% of the issuers reported positive revenue and approximately 9% of the issuers reported a net profit in the most recent fiscal year. Among the issuers that reported non-zero assets in the prior fiscal year, the median growth rate was approximately 15%.
  • 21 intermediaries, including 13 funding portals and 8 broker-dealers, were involved in the offerings. As of December 31, 2016, funding portals have registered with the SEC and FINRA and one funding portal had its FINRA membership terminated and withdrew its SEC registration. The median intermediary percentage fee was 5%, and intermediaries took a financial interest in the issuer in approximately 16% of the offerings.

To date, commercial real estate developers, sponsors and borrowers in Ohio, Wisconsin, Michigan, Indiana and Illinois have raised $32.9 million to date from RealtyShares’ network of investors, offering a source of financing for real estate projects by leveraging technology to connect potential investors with expertly vetted real estate deals.

Thus far 114 deals have been funded in the region through RealtyShares, with an average deal price of $288,000. San Francisco, California – RealtyShares has seen an uptick in repeat offerings from major deal sponsors. Several developers have returned to RealtyShares to crowdfund additional real estate projects after their first successful fundraising attempt, citing ease of use on the platform, consistency and affordability as factors in the decision to return.

Chris Wooten of Own Home, LLC funded his second residential acquisition in Nashville, Tenn., raising $398,000 from investors on the RealtyShares platform in October. Own Home purchases distressed properties and below-market apartment complexes, improving them to potentially meet or exceed market rates.

“RealtyShares provides an easy to use platform for obtaining funds to flip properties at rates lower than many other lenders,” said Wooten. “Closing in ten days gives me the leveraging tool of speed to close, making my offer more competitive than others.”

Austin, Texas-based GJS Capital Ventures funded its second deal with RealtyShares as well, raising $111,000 for a single-family home. GJS is specialized in turning non-performing residential properties into performing, low management assets in the Texas real estate market.

“I used RealtyShares again after my first flip because of how easily they closed the first file,” said Greg Saunders of GJS. “Once they had my paperwork it was as simple as finding another property. One big advantage of RealtyShares is their consistency as your lender once you have pre-qualification in place, while private and hard money lenders can get cold feet and back out.”

Also tapping into the Nashville real estate market, Devan McClish of Olympus Developments, LLC, closed his second residential fix and flip just one month after his first deal, for a combined total of $310,000 raised.

Title IV Reg A+ vs. IPO

Title IV Reg A+ Background

The SEC has previously stated that the primary purpose in adopting Reg A+ was to provide a simple and relatively inexpensive procedure for small business use in raising limited amounts of needed capital. Reg A+ issuers submit a paper-based offering statement to the SEC; this offering statement is essentially an abbreviated version of an IPO prospectus and it must be “qualified,” or cleared, by the SEC and delivered to prospective purchasers.

In addition to SEC review, Reg A+ offerings have traditionally been subject to review under state securities laws (also known as “Blue Sky” laws). In comparison, a traditional registered IPO listed on a national exchange is exempt from Blue Sky requirements. Securities sold in a Reg A+ offering are freely transferable in the secondary market, though Reg A+ issuers are not subject to Exchange Act reporting requirements.

Title IV Reg A+ as Outlined by 2012 JOBS Act

Title IV of the 2012 JOBS Act directed the SEC to expand Reg A to exempt offerings of up to $50 million in equity, debt or convertible securities. The law mandated that issuers relying on this new exemption would be required to file audited financial statements with the SEC on an annual basis.

However, without infrastructure currently in place for A+ securities to trade on national exchanges, lawmakers left it within the purview of the SEC to settle the state jurisdiction question by establishing the definition for “qualified purchaser” in the rulemaking process.

The 2nd Tier of Title IV Reg A+ Offerings

The SEC’s final rule was adopted on March 25, 2015, and became effective during the summer of 2015. In the rule, the SEC expanded Regulation A into two tiers: Tier 1 for offerings of up to $20 million and Tier 2 for offerings up to $50 million.

By removing key procedural obstacles and introducing common-sense investor protections, this new Reg A+ framework creates a viable capital-raising alternative for issuers that want to remain independent and innovative. Below are some of the key provisions included in the SEC’s Reg A+ rule:

  • Testing the waters: Issuers may solicit interest in a potential offering with the general public, either before or after the filing of the offering statement.
  • Blue Sky: Offerings made under Tier 2 are generally exempt from state securities law registration and qualification requirements. And while Tier 1 offerings would still be subject to state Blue Sky regulations, the states’ new Coordinated Review process has dramatically reduced the burdens associated with this process.
  • Offering Circular: Issuers can confidentially file statements for SEC qualification. Offering circular must include audited financial statements and balance sheets for the two most recently completed fiscal year ends. The Offering Circular format is narrative disclosure, similar to what is required from smaller reporting companies in a prospectus, but more limited in certain respects.
  • Proceeds: For Tier 2 offerings, there is an annual offering limit of up to $50 million in equity, debt or convertible securities, including no more than $15 million from selling security holders. For Tier 1 offerings, the annual limit is $20 million, with not more than $6 million from selling security holders preceded or accompanied by a preliminary offering circular.
  • Transferability/Liquidity for Investors: Securities sold in these offerings are not “restricted securities” under the Securities Act, and thus are freely tradable in the secondary market.
  • Ongoing Reporting: Issuers that conduct a Tier 2 offering must electronically file annual and semiannual reports with the SEC, but those who conduct Tier 1 offerings generally have no ongoing reporting obligations.

Are Title IV Reg A+ Shares More Liquid?

Securities offered under Reg A+ are freely tradable, which makes them more valuable to employees, investors and founders.  This is beneficial for investors but also for issuer constituents, who may be early investors or insiders, seeking liquidity.  The issuers’ choice of venue is mostly to do with the size of the offering and the company’s market capitalization.

New York, New York – Research released by Accenture (NYSE:ACN) reveals that despite the potential for small and traditional businesses to become successful digital fintech platform companies, as few as 10 percent of new start-ups focused on digital platform business models will become profitable independent entities in the coming years. The analysis also reveals that China, India and the U.S. will dominate the platform economy by 2020, and that the gulf between countries will increase. To help bridge this gap, the report outlines five critical steps businesses and governments can take to succeed.

Accenture’s report Five Ways to Win with Digital Platforms, published in collaboration with the G20 Young Entrepreneurs’ Alliance, assesses the ability of 16 G20 economies to support the flourishing of digital platforms. It shows that the UK and Germany join China, India and the U.S. at the top of the Accenture Platform Readiness Index, but other emerging markets and European economies are predicted to lag behind, lacking sufficient business and socio-economic enabling conditions.

“When you think of digital platforms, think of China and India as much as the U.S. These economies are using the power of platforms to create large scale markets very rapidly,” said Paul Daugherty, Accenture’s Chief Technology Officer. “Many European economies are in danger of missing out in the platform economy. Multi-stakeholder cooperation is required to address the fragmented digital markets and to support the greater levels of digital enterprise and consumption that successful platform businesses need.”

Accenture’s analysis shows $20bn was invested in digital platforms between 2010 and 2015 in 1,053 publicly announced deals. More than half of this investment took place between 2014 and 2015. It also shows that rankings on the Platform Readiness Index strongly correlate to the levels of digital platform activity and investment in G20 countries.

The report recommends that governments engage with businesses leaders to advance a range of policies that can create a rich enabling environment for digital platforms including the following actions:

1.

Prioritize data protection standards and rules: Drive the harmonization of data privacy and data security legislation. Smooth cross-border data transfers.

2.

Design regulations with digital platforms in mind: Experiment with regulations alongside new technologies and business models. For instance, the U.K.’s Financial Conduct Authority’s “regulatory sandbox” allows start-ups to test ideas without immediately incurring all the normal regulatory consequences.

3.

Encourage cross-border electronic trade. Harmonize taxes and standards, consumer protection, contract laws and logistics infrastructure. The eWorld Trade Platform (eWTP), initiated by B20 China, aims to accelerate international policy collaboration to support SMEs.1

4.

Invest in digital infrastructure: For example, the E.U.’s Payment Services Directive (PSD2) will empower start-ups to expand customer reach and encourage innovative business models.

5.

Think small, act big: Educate SMEs on alternative funding, such as crowdfunding and peer-to-peer lending; and on data privacy and consumer protection. Support SMEs with digital economic zones to support e-commerce.

Five ways to succeed

Accenture notes that only 15 percent of Fortune 100 companies have developed digital platform business models to date Successful digital platforms will proliferate as small businesses and traditional industries follow the lead set by digital-born platform companies. Accenture identifies five factors critical to sustaining critical mass in digital platforms, which use new technologies to create large scale markets of customers and service providers:

1.

Proposition: Create differentiated platform services that extend beyond the point of transaction; and that support both customers on the demand side and service providers on the supply side.

2.

Personalization: Target customers through tailored experiences across all channels, using customer data to anticipate needs and offer bespoke experiences.

3.

Price: Apply new pricing models, such as pay-as-you-go, ‘freemiums’, and subscription pricing to respond to peak demand.

4.

Protection: Embed trust at the heart of the platform, using both prevention and compensation techniques to attract customers and differentiate the platform.

5.

Partners: Scale the platform rapidly by identifying digital partners – such as app developers and payment service providers – who can enrich the platform experience and fulfill customer needs.

“Digital platforms are not just the preserve of digital born companies, like Airbnb and Alibaba, but are now becoming a default business model in most industry sectors, both B2B and B2C,” said Francis Hintermann, managing director, Accenture Research. “To enjoy efficiencies and high rates of growth, companies will need to transform everything from the way they co-create goods and services with third parties, tailor their offerings to customers, and price them dynamically. Crucially, they will only sustain critical mass by working with digital partners who can deliver the range of functional services that complete the customer experience.”
